1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you and Interconnected Software, Inc., a Delaware C-corporation ("Company," "we," "us," or "our"), governing your use of FaxChat at faxchat.app ("the Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
2. Service Description
FaxChat is an online fax sending and receiving service. The Service allows you to:
- Upload a PDF file and send it as a fax to a specified recipient number (pay-per-use, no account required)
- Subscribe to the Pro plan for a dedicated fax number with included monthly send and receive page allowances
- View fax transmission status and history
The Service relies on third-party telecom infrastructure providers for fax transmission. We do not guarantee uninterrupted or error-free service.
3. Eligibility
You must be at least 18 years old and capable of forming a binding contract to use the Service. By using the Service, you represent and warrant that you meet these requirements.
4. Account Registration (Pro Plan)
To use Pro plan features, you must create an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You agree to notify us immediately of any unauthorized access at [email protected].
5. Pricing and Payment
- Pay-per-use: $1.50 base fee + $0.30 per page. Cover sheets are free and not counted toward page totals.
- Pro plan: $12/month. Includes a dedicated fax number, 300 inbound pages, and 200 outbound pages per billing cycle. Overage: $0.10 per additional sent page, $0.05 per additional received page.
- All prices are in USD.
- Payment is processed via Stripe. By providing payment information, you authorize us to charge the applicable fees.
- Pro plan subscriptions renew automatically each month until cancelled. You may cancel at any time through your account settings; cancellation takes effect at the end of the current billing period.
6. Refund Policy
For pay-per-use faxes, payment is collected before sending. If the fax fails to connect to the recipient's fax machine (wrong number, busy signal, line error, etc.), a full automatic refund is issued. Issues that occur after the recipient's machine has begun receiving the data (e.g., paper jam, toner issues) are not eligible for refund. No refunds are issued after successful delivery.
Pro plan subscription fees are non-refundable for partial billing periods. If you cancel, you retain access through the end of your current billing cycle.
7. Prohibited Uses
You agree not to use the Service to:
- Send unsolicited faxes, junk faxes, or spam in violation of the Telephone Consumer Protection Act (TCPA) or the Junk Fax Prevention Act
- Send threatening, harassing, defamatory, obscene, or otherwise unlawful content
- Send documents related to fraud, scams, or illegal activities
- Transmit protected health information (PHI) or use the Service in any manner that requires HIPAA compliance (see Section 8)
- Infringe on the intellectual property rights, privacy, or other rights of third parties
- Violate any applicable federal, state, local, or international law or regulation
- Interfere with, disrupt, or overload the Service or its infrastructure
- Attempt to gain unauthorized access to any part of the Service
- Use the Service to send faxes on behalf of a third party without their consent
We reserve the right to suspend or terminate your access without notice if we determine, in our sole discretion, that you have violated these prohibitions.
8. HIPAA Non-Compliance
FaxChat is not compliant with the Health Insurance Portability and Accountability Act (HIPAA). We do not offer Business Associate Agreements (BAAs). You must not use the Service to send, receive, store, or process protected health information (PHI) as defined under HIPAA. If you are a covered entity or business associate under HIPAA, you must use a HIPAA-compliant fax service. You agree to indemnify and hold us harmless from any claims arising from your transmission of PHI through the Service.
9. TCPA and Junk Fax Prevention Act Compliance
You are solely responsible for complying with the Telephone Consumer Protection Act (TCPA), the Junk Fax Prevention Act, and all other applicable telemarketing and communications laws. You represent and warrant that you have the necessary consent or established business relationship required to send faxes to each recipient. We may cooperate with regulatory authorities investigating potential violations.
10. Intellectual Property
The Service and its original content, features, and functionality are owned by Interconnected Software, Inc. and are protected by copyright, trademark, and other intellectual property laws. You retain ownership of the documents you upload; by uploading, you grant us a limited, temporary license to process the document solely for fax transmission.
11. Logging and Disclosure
To prevent misuse and comply with applicable laws, we log the following information:
- Sender's IP address
- Recipient fax number
- Date and time of transmission
- Payment information (email, partial card info — managed by Stripe)
- Uploaded files (deleted within 24 hours after transmission)
We may disclose this information in response to valid legal process, including subpoenas, court orders, or requests from law enforcement agencies.
12. Usage Limits
To prevent abuse, pay-per-use fax sending is limited to 10 transmissions per IP address per day. Pro plan subscribers are subject to the page limits of their plan. We reserve the right to adjust these limits or impose additional restrictions at any time.
13. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. WE ARE NOT LIABLE FOR DELAYS, NON-DELIVERY, MISDELIVERY, OR DATA CORRUPTION IN FAX TRANSMISSIONS.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL INTERCONNECTED SOFTWARE, INC., ITS DIRECTORS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.
15. Indemnification
You agree to indemnify, defend, and hold harmless Interconnected Software, Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) the content of any fax you send or receive through the Service.
16. Dispute Resolution
Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through informal negotiation by contacting us at [email protected]. If the dispute cannot be resolved informally within 30 days, either party may initiate binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall be conducted in English in Wilmington, Delaware. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
Class Action Waiver: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.
17. Termination
We may terminate or suspend your access to the Service at any time, with or without cause or notice. Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination shall survive, including but not limited to Sections 13–16 and 18–21.
18. Changes to Terms
We reserve the right to modify these Terms at any time. When we make material changes, we will update the "Last updated" date at the top of this page. Your continued use of the Service after changes are posted constitutes acceptance of the revised Terms. We encourage you to review these Terms periodically.
19. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
20. Severability
If any provision of these Terms is held to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
21. Entire Agreement
These Terms, together with our Privacy Policy and Legal Notice, constitute the entire agreement between you and Interconnected Software, Inc. regarding the Service and supersede all prior agreements, understandings, and communications, whether written or oral.
